1. Acceptance of Terms

By accessing or using Mnexium's services, API, dashboard, or website (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms constitute a legal agreement between you and Mnexium, Inc. ("Mnexium," "we," "us," or "our").

2. Description of Service

Mnexium provides AI memory infrastructure for developers, including:

• API proxy services for OpenAI with added memory and history capabilities
• Automatic memory extraction from conversations
• Chat history persistence and retrieval
• System prompt management
• Semantic search across stored memories
• A dashboard for managing your data and API keys

3. Account Registration

To use the Service, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials and API keys
• Promptly notify us of any unauthorized access to your account
• Accept responsibility for all activities that occur under your account

You must be at least 18 years old to use the Service.

4. API Keys and Authentication

Mnexium API Keys: We provide API keys to authenticate your requests. You are responsible for keeping these keys secure. Do not share your API keys or expose them in client-side code.

Your OpenAI API Key: Our Service requires you to provide your own OpenAI API key via the x-openai-key header. You are responsible for:

• Obtaining and maintaining a valid OpenAI API key
• Complying with OpenAI's terms of service and usage policies
• All charges incurred through your OpenAI account

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe on the rights of others
• Store or transmit malicious code or harmful content
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the Service or servers
• Reverse engineer, decompile, or disassemble the Service
• Use the Service to build a competing product
• Exceed reasonable API rate limits or abuse the Service
• Store content that violates OpenAI's usage policies

We reserve the right to suspend or terminate accounts that violate these terms.

6. Your Data

Ownership: You retain ownership of all data you submit to the Service, including chat history, memories, and prompts.

License: By using the Service, you grant us a limited license to process, store, and transmit your data solely to provide the Service to you.

Responsibility: You are responsible for the content you store and ensuring you have the right to use and store such content. Do not store content that infringes on others' rights or violates applicable laws.

7. Beta Service Disclaimer

The Service is currently in beta. This means:

• Features may be added, changed, or removed without notice
• The Service may experience downtime or interruptions
• Data formats or APIs may change as we iterate
• We may have usage limits that change during the beta period
• The Service is provided "as is" without warranties

We recommend maintaining backups of critical data and not relying solely on Mnexium for production-critical applications during the beta period.

8. Pricing and Payment

During the beta period, the Service may be offered free of charge or with limited pricing. We reserve the right to introduce or modify pricing as we move toward production. We will provide reasonable notice before implementing any pricing changes that affect your account.

Note: You are responsible for any charges from OpenAI for API usage through your own API key.

9. Intellectual Property

The Service, including its design, features, and documentation, is owned by Mnexium and protected by intellectual property laws. You may not copy, modify, or distribute our Service or materials without permission.

We welcome feedback and suggestions. Any feedback you provide may be used by us without obligation to you.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure. We are not responsible for the accuracy or reliability of any AI-generated content or extracted memories.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MNEXIUM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims arising from these Terms or the Service shall not exceed the amount you paid us in the twelve months preceding the claim, or $100, whichever is greater.

12. Indemnification

You agree to indemnify and hold harmless Mnexium and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of another.

13. Termination

You may terminate your account at any time through the dashboard or by contacting us. We may suspend or terminate your access to the Service at any time for any reason, including violation of these Terms.

Upon termination, your right to use the Service will immediately cease. We may delete your data in accordance with our Privacy Policy.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.
